How It Works

General Business Law Practice

Small businesses bear the highest burden in today’s economy. They provide jobs and opportunities for millions of Americans; however, they suffer from the highest rate of abuse in their business relationships for lack of legal knowledge. We make legal services affordable for small businesses and help them grow their business.

Businesses usually do not grow as fast as they want, or they fail due to the high cost of legal services.  Compliance with general business laws such as employment, insurance, or contract, let alone specific industry sector regulations such as HIPPA, GLBA, Dodd Frank Act, and SEC needs top rated but affordable legal advice.  Our solution helps businesses to receive the service of an in-house attorney at fraction of cost to hire a full time attorney or retain a traditional law firm.

Our services are aimed at start-ups and small to medium size businesses. We provide businesses with a luxury of an in-house attorney in the following areas of business law:

  • Contract Drafting and Negotiation
  • Commercial Lease Drafting and Negotiation
  • Contractual Disputes

  • Corporation and Limited Liability Company Formation
  • Corporation Formalities, By Laws, Minutes, Shareholder Agreements
  • Limited Liability Company Formalities, Operating Agreement
  • Capital Formation, SEC Regulation 506, Crowd Funding, Jobs Act
  • Employment Law

Cybersecurity & Privacy Law Practice

We advise companies across a broad range of industries on data protection and privacy laws, including obligations under the Gramm-Leach- Bliley Act, the Health Insurance Portability and Accountability Act, the Electronic Communications Privacy Act (ECPA), CAN-SPAM, the Children’s Online Privacy Protection Act, the Fair Credit Reporting Act (FCRA), the Federal Trade Commission Act, Sarbanes-Oxley, breach notification laws, and other federal and state laws. We regularly advise companies on complying with applicable foreign laws, including European Union directives, laws, and regulations on data protection, privacy, and data retention. In addition, we regularly help companies formulate or revise privacy policies to comply with new laws or take account of new technologies or changes in business operations. We also advise companies on the data privacy and security implications of mergers and acquisitions, outsourcing arrangements, and other transactions.

Data Breach

Prevention, Response, and Litigation

We work to protect companies both before and after a data breach. This includes helping companies develop or improve data privacy practices and incident response plans through privacy and security assessments, in order to minimize the risk of a data breach and to put the company in the best position to respond if a breach occurs. In the event of a breach, we provide rapid and comprehensive incident response under the protection of the attorney-client privilege. We coordinate the company’s engagement with law enforcement and with both federal and state regulators. Company’s may use our Data Breach Concierge in assessing breach preparedness. Companies can use the Toolkit on their own, or with Steptoe’s assistance, to review their policies and practices and to take any necessary steps to put themselves in the best possible position to prevent a breach or to respond effectively to, and minimize the damage from, any breach that might occur. We also represent companies in the regulatory investigations and civil litigation that increasingly follow a data breach.

We understand the emerging threats to the security of IT systems, and related cyber-regulatory efforts by governments that pose unique business and legal challenges to companies serving private sector or government customers. We assist clients in a broad range of industries, including financial services, healthcare, electric power, telecommunications, technology, Internet services, and government contracting to comply with applicable US and international laws and regulations, institute security systems and procedures to minimize the chances of a cybersecurity incident, assist with incident response after a data breach, resolve disputes, and adopt strategic solutions to business problems posed by cyber threats. We are well versed in NIST Cyber Security Framework and can assist companies how to relate their legal obligations to specific control.

Data Breach Concierge

Before Breach Risk Management
After Breach Risk Management

Companies of all sizes need to be concerned about data privacy and security. Data breaches can have a devastating impact on your company’s revenues, not to mention its reputation. The true financial impact of a breach includes not just the expense of responding to the incident, but also the costs of defending the company in litigation and investigations by state, federal, and possibly foreign regulators. We works to protect companies both before and after a data breach – from conducting pre-breach privacy and security assessments, to conducting exercises and breach simulations, to coordinating crisis management and incident response, to advising on breach notification, to defending companies in litigation and regulatory proceedings.

Data Breach Concierge is a resource to help companies evaluate their level of preparation for a breach. And for companies that are experiencing a breach, the Concierge will provide useful guidance on incident response and a reference on breach notification laws.

We know small businesses are limited in resources and they afford legal protection if the cost is reasonable and within their budget. We have reduced the costs of legal services and offer start-ups, small, and medium size businesses attractive plans to eliminate unnecessary costs associated with operating a legal department.

You retain our services and reserve our time to provide legal services to your business in exchange for the block of hours of legal services delivered. You are paying these fees to secure a minimum number of hours to engage us at competitive rates, which are not refundable. We may provide a refund as a courtesy, but that is totally up to our discretion. We will keep track of the hours spent on your matter and will debit your account for the number of hours used. If we use all the hours that you have purchased in this block of minimum hours, we will stop all work. We will then make sure that you want to continue the engagement by sending you a request to purchase an additional block of hours. You agree to these terms and give your informed consent based on our proposed course of conduct after having received adequate information and an explanation of material risks and reasonably available alternatives.
